Annapurna Swadisht acquires 75% stake of Andri Agro

Kolkata: In a bid to expand its product portfolio, Kolkata-based Annapurna Swadisht Limited (ASL) is set to acquire a majority stake in Andri Agro Foods Private Limited (AAFPL) for an estimated Rs 4.5 crore. The total enterprise value of the transaction is pegged at Rs 15 crore.
ASL has entered into share purchase agreement with the shareholders of AAFPL to acquire 75% of the equity share capital. Upon completion of the transaction and related formalities, Andri Agro Foods will become a subsidiary of Annapurna Swadisht Limited, the company said in a recent notification to stock exchanges.
The acquisition is expected to help ASL strengthen its presence in the Indian as well as overseas soya-based products market. Andri Agro Foods manufactures a wide range of soya-based products, soya chunks, 3D pellets, soya granules, textured vegetable protein (TVP) and other value-added agro-food products.
The comapny operates a manufacturing unit at Raniganj in Asansol, West Bengal, with an annual capacity of 4.2 lakh tonnes of soya-based products. The facility is equipped with Italian and Japanese machinery. Andri Agro Foods markets its products under the ‘So Best' brand and also undertakes job work for established brands such as Haldiram and Akash.
Currently, the company has a distribution network of around 200 distributors across eastern India.
Commenting on the development, Shreeram Bagla, chairman and managing director of Annapurna Swadisht Limited, said, "It was our endeavour to strategically strengthen our product portfolio and diversify into newer geographies by adopting both organic and inorganic channels of growth. Acquisition of AAFPL will enable us to establish our presence in the soya-based products markets both in India and overseas."
ASL reported consolidated revenues of Rs 249.9 crore in the first half of FY26.
